Dolphin Cove is about to get a new owner… but what does that mean for shareholders?
After more than a year of uncertainty surrounding its majority shareholder, Dolphin Cove has announced that Global Attractions Ltd, a company incorporated in St. Lucia, has agreed to purchase the 79.99 percent controlling stake held by World of Dolphins Inc.
The sale price hasn’t been disclosed, and neither has the identity of the individuals behind Global Attractions.
The transaction is still subject to several conditions, including refinancing Dolphin Cove’s existing credit facility with Sagicor Bank. But if the deal is completed, Global Attractions will become Dolphin Cove’s new controlling shareholder.
So why should investors care?[ i want to know too}
firstly, this isn’t just a change of ownership—it could trigger a mandatory takeover offer.
Under Jamaica Stock Exchange rules, anyone who acquires control of a listed company must generally make an offer to buy the shares held by the remaining minority shareholders. That means investors, including founder and chairman Stafford Burrowes, who still owns about 9.8 percent of the company, could soon receive an offer for their shares.
The sale also brings a major chapter to a close.
World of Dolphins’ parent company, The Dolphin Company, entered Chapter 11 bankruptcy protection in the United States last year after defaulting on a US$100 million debt. The Dolphin Cove shares had been pledged as collateral, and creditors have been working to sell them as part of the bankruptcy process.
Now the market’s attention shifts to what comes next.
Will the new owners inject fresh capital? Change the company’s strategy? Or simply stabilize the business after a difficult year that saw revenue fall sharply following Hurricane Melissa?
Since the buyer was announced, Dolphin Cove’s shares have climbed about 10 percent, moving from J$11.00 to around J$12.00, with the stock trading as high as J$13.50 during the session.
So investors will be watching closely—not just to see whether the deal closes, but what the new owners plan to do once they’re in control.
And that’s the bottom line.
So what do you think? Will the new owner give you more or less confidence in Dolphin Cove?
