Is someone secretly trying to take over Elite Diagnostic?
Millions of shares in the Jamaican medical imaging company have changed hands. And for a few days, one shareholder reportedly controlled more than HALF the company!
But who bought all those shares? And what are they planning to do with them?
Elite Diagnostic is listed on the Jamaica Stock Exchange’s Junior Market.
According to disclosures published through the JSE, three connected-party transactions between September 29 and October 1 involved approximately 137.5 million shares.
Based on reported transaction prices, that’s roughly 250 million Jamaican dollars worth of shares!
But here’s where things get interesting.
According to Elite Diagnostic’s own announcement, shareholder records showed that between October 2 and October 6, one shareholder held more than 50% of the company.
Now, owning more than half a company’s voting shares can give someone significant influence over corporate decisions.
But updated shareholder information reportedly showed that the largest shareholder held approximately 38%.
So what happened? Who held that majority stake? And why did the ownership position change so quickly?
Elite Diagnostic wants answers too.
The company says it has written to shareholders holding 20% or more of its shares, seeking information about beneficial ownership, plans to acquire more shares, and any intentions to gain control of the company.
And that’s important because changes in control can raise questions about disclosure, takeover rules, and the rights of minority shareholders.
But let’s be clear: a large share purchase does not automatically mean an unlawful takeover has occurred. And we have not established that a formal takeover offer has been made.
What we do know is that substantial blocks of shares have changed hands, Elite Diagnostic has asked questions about ownership, and investors are waiting for clarity.
When you invest in a publicly traded company, you’re not just investing in its profits. You’re also investing in its leadership, governance and future direction.
And that’s the bottom line.
Do you think investors should be told immediately when someone acquires a controlling stake in a publicly listed company?
